1. Introduction and Acceptance of Terms

Welcome to E-Mandi Bill! These Terms and Conditions ("Terms", "Terms and Conditions", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and NAIM AHMAD ("we", "us", "our", or "Company") governing your use of the E-Mandi Bill mobile application (the "App", "Service", or "Application").

By accessing, downloading, installing, or using E-Mandi Bill, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy. If you do not agree to these Terms, you must not use the App and should immediately uninstall it from your device.

E-Mandi Bill is a business productivity tool designed to help users manage their sales and billing efficiently. The App provides the following core features:

• Invoice generation and history
• Customer management and tracking
• Product management for billing
• Offline-first functionality allowing usage without internet connectivity
• Automatic data synchronization when online
• Export bill data as PDF or image files

4. User Eligibility

By using E-Mandi Bill, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into a binding agreement
• You are not prohibited by law from using the App
• All information you provide is accurate, current, and complete

If you are under 18 years of age, you must have permission from a parent or legal guardian to use the App.

5. User Accounts and Registration

5.1 Account Creation

To use E-Mandi Bill, you must create an account by providing your name and email address or phone number. You agree to provide accurate and complete information during registration and to update such information to keep it accurate and current.

5.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account is not shared with others

We are not liable for any loss or damage arising from your failure to maintain account security.

5.3 Account Restrictions

You may not:

• Create multiple accounts for the same user
• Create fake or fraudulent accounts
• Use another person's account without permission
• Transfer, sell, or share your account with any third party

6. Pricing and Payment Terms

6.1 Current Pricing

As of the effective date of these Terms, E-Mandi Bill is provided free of charge. All core features are available to users at no cost.

6.2 Future Paid Features

We reserve the right to introduce paid features, premium subscriptions, or in-app purchases in the future. If we introduce paid features:

• We will provide advance notice via email and in-app notifications
• Existing free features will remain free unless explicitly communicated otherwise
• Pricing will be clearly displayed before purchase
• You will have the option to continue using free features without purchasing

6.3 Cancellation & Refund Policy

If paid features are introduced, refunds will be handled in accordance with applicable laws and the payment platform's policies (Google Play Store). Specific refund terms will be provided at the time of purchase. Generally, subscriptions and in-app purchases are non-refundable except as required by law or in cases of technical errors.

7. User Content and Intellectual Property

7.1 Your Business Data

You retain full ownership of all data you create, input, or manage through the App, including but not limited to customer names, bill records, product details, and any other information you provide ("User Content"). We do not claim any ownership rights to your User Content.

7.2 License to Use Your Content

By using the App, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely for the purpose of:

• Providing and maintaining the App's services
• Synchronizing your data across devices
• Backing up your data for security and recovery purposes
• Improving the App's functionality and user experience

This license terminates when you delete your account or remove specific content from the App.

7.3 Our Intellectual Property

The App, including its design, features, functionality, source code, graphics, user interface, and all related intellectual property, is owned by NAIM AHMAD and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business purposes in accordance with these Terms.

You may not:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use the App's name, logo, or branding without written permission

8. Acceptable Use Policy

You agree to use E-Mandi Bill only for lawful purposes and in accordance with these Terms. You agree not to use the App:

• Illegal Activities: For any unlawful purpose, including tracking illegal goods, contraband, or any activity that violates local, state, national, or international law
• Fraudulent Accounts: To create fake, fraudulent, or misleading accounts or impersonate any person or entity
• Automated Bots: To use automated systems, bots, scripts, or any automated means to access or interact with the App without our express written permission
• Harmful Conduct: To transmit viruses, malware, or any other malicious code, or to interfere with the App's functionality or security
• Abusive Behavior: To harass, abuse, threaten, or harm others, or to engage in any conduct that is offensive, discriminatory, or inappropriate
• Unauthorized Access: To attempt to gain unauthorized access to other users' accounts, our servers, or any connected systems
• Data Scraping: To scrape, mine, or extract data from the App using automated means
• Terms Violation: In any manner that violates these Terms or any applicable laws

9. Service Availability and Modifications

9.1 Availability

We strive to provide continuous access to E-Mandi Bill and aim for 24/7 availability. However, the App relies on third-party services (such as Supabase for cloud storage) which may experience occasional downtime or interruptions. We do not guarantee uninterrupted or error-free access to the App.

9.2 Maintenance and Updates

We reserve the right to:

• Suspend or restrict access to the App temporarily for maintenance, updates, or repairs
• Modify, update, or discontinue any features or functionality of the App at any time
• Release updates, patches, or new versions of the App

We will make reasonable efforts to notify users in advance of scheduled maintenance or significant changes that may affect service availability.

9.3 Right to Modify

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice, and without liability to you. This includes the right to add, remove, or change features based on user feedback, technical requirements, or business decisions.

10. Account Termination and Suspension

10.1 Termination by You

You may delete your account at any time through the delete-account page in the App. Upon account deletion, all your data will be permanently removed from our systems immediately, and this action cannot be undone.

10.2 Termination by Us

We reserve the right to suspend or terminate your account, without prior notice or liability, if we determine that you have:

• Violated these Terms and Conditions
• Engaged in illegal activities using the App
• Created fake or fraudulent accounts
• Used automated bots or scripts
• Engaged in abusive, harassing, or inappropriate behavior
• Failed to use your account for more than one (1) year (account inactivity)
• Compromised the security or integrity of the App

10.3 Effect of Termination

Upon termination of your account, whether by you or by us, your right to access and use the App immediately ceases. All data associated with your account will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply.

11. Disclaimers and Warranties

11.1 "As Is" and "As Available" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or completeness of the App or its content
• Warranties that the App will be uninterrupted, secure, or error-free
• Warranties that defects will be corrected or that the App is free from viruses or harmful components

11.2 No Business Advice

E-Mandi Bill is a tool for managing sales and billing data. The App does not provide business advice, financial advice, or professional recommendations. We are not responsible for any business decisions you make based on the data or information provided by the App. You acknowledge that:

• All business decisions are made at your own risk
• You are solely responsible for verifying the accuracy of your billing data
• We are not liable for any losses, damages, or consequences resulting from business decisions made using the App

11.3 Third-Party Services

The App relies on third-party services such as Supabase for data storage and Firebase Crashlytics for error reporting. We are not responsible for the performance, availability, or security of these third-party services. Any issues arising from third-party service failures or interruptions are beyond our control.

12. Limitation of Liability

You agree to indemnify, defend, and hold harmless NAIM AHMAD, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the App
• Your violation of these Terms and Conditions
• Your violation of any rights of another person or entity
• Your User Content or any data you input into the App
• Any illegal activities conducted using the App
• Any business decisions or actions you take based on information from the App

This indemnification obligation will survive the termination of these Terms and your use of the App.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Your use of the App may also be subject to other local, state, national, or international laws.

14.2 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the App shall be brought exclusively in the courts located in India. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

14.3 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App, you agree to first contact us at ayzadevlabs@gmail.com to attempt to resolve the dispute informally. If the dispute cannot be resolved within thirty (30) days, either party may pursue legal action in accordance with the jurisdiction provisions above.

14.4 No Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms and Conditions

We reserve the right to modify, update, or change these Terms and Conditions at any time for any reason, including but not limited to:

• Changes to the App's features or functionality
• Legal or regulatory requirements
• Security or privacy enhancements
• Business or operational changes

When we make changes to these Terms:

• We will update the "Last Updated" date at the top of this document
• We will notify you via email at the address associated with your account
• For material changes, we may also provide in-app notifications

Your continued use of the App after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the App and delete your account.

16. Privacy

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

19. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and NAIM AHMAD regarding your use of E-Mandi Bill and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the App.

20. Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction or notice to you.
